Terms & Conditions – BULKORY 

§ 1 Scope and Applicability

  1. These Terms & Conditions (“T&Cs”) govern all legal relationships between the client (hereinafter referred to as the “Customer”) and Retrospect GmbH (“BULKORY”), operating under the trade name “BULKORY”, in relation to the use of our wholesale platform and the purchase of goods therefrom.
  2. Our platform is designed exclusively for business customers, including registered companies, institutions, and self-employed entrepreneurs. Private individuals (consumers) are explicitly excluded from access and purchase.
  3. By registering, the Customer declares that they are acting in a business capacity and possess full legal authority to bind their organization.

 3. Registration and Customer Account

  1. Access to the platform requires prior registration and manual verification by BULKORY. We reserve the right to request documentation such as a VAT certificate or business license to confirm business status.
  2. Customers are responsible for ensuring that all account information is accurate and up to date. BULKORY assumes no liability for losses resulting from incorrect data.
  3. We reserve the right to suspend or delete any account where misuse, fraud, or non-compliance with these T&Cs is suspected.

 4. Ordering & Contract Conclusion

  1. Orders may be placed at any time via our online platform. Adding items to a shopping cart is non-binding.
  1. A contract of sale is concluded only when:

   – We send a written or electronic order confirmation;

   – A proforma or fiscal invoice is issued;

   – Payment has been successfully received and verified.

  1. BULKORY may decline any order without obligation to justify the refusal. This includes, but is not limited to, orders with technical errors, pricing anomalies, or stock shortages.
  2. BULKORY reserves the right to cancel or adjust any order in the event of inventory discrepancies, stockouts, or overselling situations caused by simultaneous purchases or technical errors. In such cases, affected Customers will be informed promptly, and any prepayments made will be fully refunded. No further claims for compensation or damages may be asserted by the Customer as a result of such cancellations.

 5. Pricing and VAT

  1. All prices are displayed in EUR and are net prices unless otherwise specified.
  1. Customers within the EU must provide a valid VAT ID to benefit from VAT-free intra-community delivery. If no valid VAT ID is provided, local VAT may apply.
  1. Prices may vary depending on size, colorway, edition, and real-time market conditions. Discounts for larger orders are automatically applied in the checkout process.

 6. Minimum Order & Bulk Pricing

  1. The standard minimum order quantity is 1 units.
  2. The platform automatically calculates tiered pricing for larger orders.
  3. Customers with high-volume inquiries or special projects are invited to schedule a personal consultation with a Sales Manager to discuss custom pricing and allocation.

 7. Payment Terms

  1. For orders paid by bank transfer: All orders must be paid in advance via bank transfer. The invoice will include payment instructions and is due within 48 hours unless stated otherwise.
  2. Orders can be canceled if payment is not received in time.
  3. BULKORY reserves the right to charge late fees or cancel future access in the case of non-payment or habitual delays.
  4. On the Bulkory webshop, it is possible to pay for the purchased goods not immediately, but at a later date. We provide this with the help of an external financial partner, PastPay Europe sp. z o.o. (PastPay) through its payment method called PastPay. In this case, if you select PastPay as the payment method at checkout and PastPay undertakes to finance the given transaction, PastPay will buy the invoice issued by the Service Provider to you, therefore it will purchase the Service Provider’s claim against you and pays the invoice value to the Service Provider instead of you. In such cases, the invoice issued by the Service Provider already contains the unique legal features of the scheme and all the necessary information.

    It is IMPORTANT that after the assignment of the invoice, your payment obligation remains with PastPay, which can only be paid to the bank account number of PastPay indicated on the invoice. You must fulfill your payment obligation no later than the due date of the invoice, otherwise a flat rate of 40 euros will be charged. By using PastPay, you consent to the forwarding of your contact details (name, email address, phone number) to PastPay. This is primarily necessary so that we can send you the information and notifications necessary for the grant and the payment process. You can find PastPay’s Privacy Policy here. In the event that PastPay does not undertake to finance the given transaction, this payment method is not available – of course, you still have the option of making the purchase, please choose another payment method in such a scenario.’

     

 8. Shipping & Delivery

  1. Orders are typically shipped within 3 business days of confirmed payment.
  2. Delivery is executed through trusted partners such as UPS, DPD, DHL, FedEx, or regional couriers.
  3. Delivery times vary based on destination but usually range from 3–7 working days within the EWR.
  4. Title and risk pass to the Customer upon shipment. Optional cargo insurance is available upon request and at the Customer’s expense.
  5. Customers must inspect deliveries immediately. Visible damage or missing items must be reported within 3 business days of receipt.

 9. Returns & Warranty

  1. As a B2B supplier, BULKORY does not accept returns for buyer’s remorse, unsold stock, or over-ordering.
  1. Claims are only accepted for:

   – Items damaged in transit,

   – Incorrect product deliveries,

   – Significant defects clearly attributable to the supplier.

  1. All complaints must be made in writing within 3 business days of receiving the goods, accompanied by photographic evidence.
  1. Returns without prior approval or outside the stated timeline will not be accepted.
  1. BULKORY does not provide any warranty or guarantee beyond legally mandatory obligations. As a B2B seller, all products are sold “as-is” unless explicitly stated otherwise in writing.
  2. The Customer is obligated to inspect goods immediately upon delivery. Defects reported beyond the 3-day window are excluded from claims.

 10. Authenticity Guarantee

  1. All products sold on BULKORY are 100% original, unworn, and authentic.
  2. We source directly from verified suppliers and conduct internal quality checks before shipment.
  3. BULKORY does not deal in replicas or used goods.

 11. Intellectual Property & Data Protection

  1. All website content, product images, brand names, and platform code are protected by applicable intellectual property laws.
  2. Customer data is handled in compliance with the EU General Data Protection Regulation (GDPR). More information is available in our Privacy Policy.
  3. Data is stored securely and is used solely for order fulfillment, customer communication, and platform optimization.

 12. Platform Access and Availability

  1. BULKORY reserves the right to modify, restrict, or suspend access to the platform for maintenance, upgrades, or misuse without prior notice.
  1. We are not liable for temporary service disruptions due to technical issues beyond our control.

 13. Liability and Force Majeure

  1. BULKORY shall only be liable for direct damages resulting from intentional misconduct or gross negligence. For breaches of essential contractual obligations (cardinal duties), liability is limited to the amount of foreseeable, typically occurring damages.
  1. Liability for indirect or consequential damages is expressly excluded. This includes, but is not limited to:
  • Lost profit,
  • Missed business opportunities,
  • Business interruption,
  • Damages resulting from resale difficulties,
  • Any form of consequential loss.
  1. BULKORY assumes no liability for delays or non-performance due to force majeure, including but not limited to natural disasters, pandemics, war, civil unrest, cyberattacks, embargoes, strikes, or governmental restrictions.
  1. These limitations do not apply in cases of fraudulent concealment, injury to life, body or health, or where liability is mandatory under product liability law (e.g., EU Directive 85/374/EEC).

 14. Governing Law and Jurisdiction

  1. These T&Cs are governed by the laws of the Austria.
  2. The competent court of Vienna shall have exclusive jurisdiction over any disputes arising from these T&Cs or related transactions.

 15. Final Provisions

  1. Should any provision of these T&Cs prove invalid or unenforceable, the remaining provisions shall remain unaffected.
  2. These Terms may be updated at any time. Customers will be informed via platform announcement or email.
  3. Continued use of the platform after any changes constitutes acceptance of the updated terms.
